Locations: Atlanta, Baltimore, Boston, Washington, D.C., Miami, New York, Philadelphia, Raleigh, Short Hills, or Wilmington

Direct Counsel is seeking an M&A Litigation Associate Attorney to join a leading global law firm’s Business and Commercial Litigation practice. This role offers the opportunity to represent clients in high-value post-closing disputes and other complex transactional litigation matters across a multi-office team of top-tier attorneys.

Ideal Candidate Profile:

  • Minimum of 5 years of experience in M&A post-closing indemnity disputes and/or representations and warranty insurance disputes

  • Experience analyzing M&A transaction documentation and calculating damages

  • Exceptional research, writing, and communication skills

  • Admitted to practice in the jurisdiction where applying

What You’ll Do:

  • Manage complex commercial litigation matters from inception to resolution

  • Draft and argue motions, conduct depositions, and collaborate on case strategy

  • Advise clients on post-closing and indemnification disputes arising from M&A transactions

  • Work closely with partners and cross-office teams on sophisticated, high-stakes matters

  • Participate in pro bono initiatives that promote access to justice

Compensation & Benefits:

  • Expected base salary range: $365,000 – $420,000, commensurate with experience and location

  • Comprehensive benefits package including medical, dental, vision, and 401(k)
