Job Description
We are actively seeking astute and high-caliber Associates and Counsel to join a dynamic Private Funds practice group.
In this pivotal role, you will act as a strategic advisor to General Partners and Limited Partners, navigating the complex lifecycle of private investment vehicles. You will move beyond simple drafting to become an architect of sophisticated fund structures, handling matters that span the Private Equity, Real Estate, and Venture Capital spectrum.
Successful candidates will spearhead fund formation transactions, drafting and negotiating offering materials, limited partnership agreements, and side letters with a high degree of autonomy. You will provide critical counsel on regulatory compliance, specifically navigating the nuances of the Securities Act of 1933, the Investment Company Act of 1940, and the Investment Advisers Act. This role demands a proactive legal mind capable of managing multi-faceted closings and advising on the structural intricacies of unregistered funds. This is a unique opportunity to work on headline-making deals within a team that closed over 80 transactions and raised over $33 billion in capital in the first half of the year alone.
Qualifications
- Juris Doctor (J.D.) from an ABA-accredited law school.
- Active Bar Admission in good standing in the jurisdiction of the office (NY, MA, or CA).
- 3+ years of substantive experience in Private Investment Funds formation (Private Equity, Venture Capital, or Real Estate funds).
- Demonstrated expertise with private placements under the Securities Act of 1933.
- Solid command of the Investment Company Act (specifically regarding unregistered funds) and the Investment Advisers Act.
- Note: Experience primarily in mutual funds or registered funds is not applicable for this specific mandate.
Preferred Skills
- Proven ability to manage deal teams and supervise junior associates on complex transactional matters.
- Exceptional academic credentials and a track record of excellence in a peer AmLaw 100 firm.
- Strong business acumen with an ability to understand the commercial drivers behind fund structures.
- Experience representing both sponsors and institutional investors is a distinct advantage.
