Direct Counsel is seeking a Corporate Associate to join a top-tier law firm with a nationally recognized corporate practice.

The firm’s corporate group combines deep legal knowledge with practical business insight to advise a wide range of clients—both public and private—on complex commercial, financial, and transactional matters. Attorneys within this group are trusted advisors on critical deals, strategic growth, and day-to-day business operations.
Position Summary
The firm is seeking an associate with 5+ years of transactional experience to join its Venture Capital & Emerging Companies (ECVC) practice. The ideal candidate will have a strong background in venture financings and advising high-growth companies. This role requires the ability to manage complex transactions, mentor junior attorneys, and directly advise entrepreneurial clients.
Key Responsibilities

Draft and negotiate venture capital investment agreements, including NVCA forms

Lead negotiations on key investment terms and deal structures

Provide day-to-day counsel to emerging companies on corporate governance and operational matters

Guide clients on board and stockholder communications and approvals

Supervise, mentor, and train junior associates within the ECVC group
Qualifications

JD or LLM from an ABA-accredited law school

Admission to practice in New York or Massachusetts (or eligibility to waive in)

Minimum of 5 years of experience in venture capital and emerging company representation

Proficiency in Excel and understanding of capitalization tables

Exceptional communication skills—both written and verbal

Strong attention to detail, ability to multitask, and high level of organization

Work Environment
The firm follows a hybrid work model, requiring attorneys to work from the office approximately 60% of the time in accordance with internal policies.
Compensation & Benefits

Base salary range: $365,000–$390,000
