Summary
The Compliance Counsel is responsible for both the oversight of the Compliance Program and the provision of legal counsel on corporate matters. This role is split evenly, with approximately 50% of time dedicated to compliance activities and 50% to broader corporate legal responsibilities. 

The Compliance Counsel provides guidance, policies, and advice to the RiverStone Executive Committee, Boards of Directors, Managers, senior management, and associates, ensuring maximum compliance with regulatory requirements and company policies, while also supporting corporate legal initiatives, contract review, and risk management. 

The Compliance Counsel oversees the Compliance Program, which provides an independent and objective framework to review and evaluate compliance issues/concerns within the organization. The Compliance Program is intended to ensure support of maximum compliance with the rules and regulations of regulatory agencies, and RiverStone and Fairfax policies and procedures, with particular emphasis on the RiverStone Code of Conduct. The Compliance Counsel is empowered to take appropriate steps and elevate issues within RiverStone to advance the achievement of the objectives of an effective compliance program and facilitate the management of the compliance activities.

The Compliance Counsel also serves as counsel to RiverStone for corporate legal matters more generally. As detailed below, this will include a variety of responsibilities to support and implement corporate legal initiatives, contract review, and risk management. ​
Essential Functions
Compliance Responsibilities (50%)
<ul>
<li>Develops, initiates, maintains, and revises policies and procedures for the Compliance Program and its related activities to prevent illegal, unethical, or improper conduct.</li>
<li>Reviews and updates, as warranted, compliance policies, including the company Code of Conduct, to ensure continuing relevance and consistency in providing guidance across the organization. Works closely with General Counsel, HR, ExCo, and, where necessary, Fairfax contacts, to ensure consistency across compliance policies.</li>
<li>Manages day-to-day operation of the Compliance Program, implementing controls and metrics manage compliance exposures.</li>
<li>Collaborates with other departments, in particular Corporate Audit Services, to identify and mitigate compliance issues and utilizes appropriate channels for investigation and resolution. Consults with internal and, as appropriate, external attorneys as needed to resolve legal compliance issues.</li>
<li>Responds to reported or potential violations of rules, regulations, policies, procedures, and Code of Conduct, liaising with HR where appropriate.</li>
<li>Develops and manages a system for fair and (where possible) uniform handling of any policy violations and related investigations.</li>
<li>Oversees overall compliance with Records Retention policy, and works with records management to ensure adherence to policy in the handling of corporate records.</li>
<li>Identifies regulatory and other external issues and trends, recommending actions to smitigate potentially new compliance exposures.</li>
<li>Provides reports on a quarterly basis, or as required, to keep the Executive Committee and appropriate Board and senior management informed of the operation and progress of the Compliance Program.</li>
<li>Oversees and ensures proper reporting of violations or potential violations as required by law.</li>
<li>Institutes and maintains an effective compliance communication program for the promotion of compliance awareness throughout RiverStone, including use of the Ethics (or “whistleblower”) Hotline and training programs for associates. ​ ​Corporate Legal Responsibilities (50%)</li>

<li>Provides legal counsel on corporate matters, including contracts, transactions, and risk management.</li>
<li>Drafts, reviews, and negotiates contracts and other legal documents, advising internal stakeholders concerning such matters and representing RiverStone with external parties.</li>
<li>Reviews and manages various regulatory matters, including regulatory applications and approvals, coordination of regulatory examinations, and responses to complaints received from state departments of insurance.</li>
<li>Advises on regulatory, legislative, and legal issues affecting the conduct and operation of the business.</li>
<li>Supports internal investigations and dispute resolution.</li>
<li>Leads on matters associated with effective corporate governance, board matters, and legal entity management.</li>
<li>Liaises with external counsel as needed for specialized legal matters.</li>
<li>Undertakes legal research and prepares memoranda on issues related to the management of corporate matters.</li>
<li>Supports the development and delivery of legal training for associates. ​</li>

Experience
· Minimum 8 years of experience in a legal and compliance role for an insurance company, or providing legal and compliance advice to financial services institutions.
· Insurance company experience and understanding of corporate compliance and regulatory issues.
Required Education
Four-year college degree, plus Juris Doctor.
Supervisory Role
For the foreseeable future, this position will not have direct reports.

Minimal, but dependent on business needs.

Vermont Law and Graduate School (VLGS) seeks a strategic, collaborative, and mission -driven Vice President for Alumni Relations and Development to lead the institution’s fundraising and alumni engagement efforts. The Vice President for Alumni Relations and Development serves as the key advisor to the Administration on all matters related to institutional advancement and serves as a member of the Senior Leadership Team. The Vice President oversees a team of seven advancement professionals in the Offices for Alumni Relations and Development (OARD). OARD is responsible for the annual fund, corporate and foundation relations, major gifts and planned giving along with all alumni communications and alumni engagement events.
 
Key Duties and Responsibilities:
 
Strategic Leadership
<ul>
<li>Develop and execute a comprehensive advancement plan that integrates best practices in annual, major, planned, corporate, and foundation giving to achieve institutional goals. </li>
<li>Collaborate with the Administration and the Board of Trustees to establish annual and long-term fundraising objectives and performance metrics. </li>
<li>Serve as a member of the Senior Leadership team.</li>
<li>Maintain close working relationships with internal and external constituents as well as members of the Board of Trustees and Vermont Law and Graduate School Alumni Association board.</li>
<li>Oversee a robust donor and prospect research process and ensure prospect managers and solicitors effectively track donor qualification, cultivation, solicitation, gift acknowledgement, and stewardship. Ensure data integrity in alumni/donor database. </li>
<li>Lead, mentor, and evaluate a high-performing advancement team, fostering professional development, accountability and alumni and community fundraising success. </li>
<li>Manage departmental budgets and ensure effective allocation of resources to support fundraising priorities. </li>
<li>Provide regular reporting to leadership and the Board, using data analytics to measure outcomes and inform strategic adjustments. </li>
<li>Engage trustees, faculty, staff, alumni, and friends of VLGS in a culture of philanthropy.</li>

Fundraising and Donor Relations
<ul>
<li>Manage a personal portfolio of top prospects and donors and secure major gifts, capital, and planned gifts, as well as annual gifts and endowment support. </li>
<li>Oversee all fundraising programs, including the annual fund, major and planned giving and campaign initiatives. </li>
<li>Oversee foundation and corporate grant applications and solicitations. Track and report on efficacy of efforts. </li>
<li>Implement comprehensive stewardship programs that recognize, retain, and inspire donors at all levels of giving. </li>
<li>Ensure maintenance of donor confidentiality and adherence to tax and other legal obligations and adherence to school policy. </li>

Alumni Relations and Engagement 
<ul>
<li>Strengthen lifelong engagement with alumni through communications, events, and volunteer programs. </li>
<li>Build and sustain relationships with the Alumni Association Board and collaborate on shared goals to increase alumni participation and engagement. </li>
<li>Ensure accurate maintenance of alumni and donor records and database tools to support relationship management, engagement tracking, and data-informed strategy. </li>
<li>Oversee planning of events, including reunions and regional alumni events. </li>

Communications and Collaboration

<li>Develop and maintain collaborative relationships and programs with VLGS departments, including the Administration, Admissions, Career Services, Student Affairs, the Environmental Law Center, and Center Leadership to integrate advancement goals with institutional priorities. </li>
<li>In collaboration with the Director of Communications, craft key messages to prospective donors and current donors; including annual fundraising appeals, reunion appeals, and special appeals, gift recognition, and special announcements. </li>
<li>Collaborate with the Deans and the Vice President of Community Engagement and Government Relations on government-related initiatives that advance public and governmental relationships and increase overall visibility for the school and its programs. </li>

Requirements:
Required Education, Skills, and Experience:

<li>Bachelor’s degree required, advanced degree preferred.</li>
<li>10+ years of fundraising, alumni and management, experience in higher education or nonprofit organizations, or equivalent preferred.</li>
<li>Proven track record in securing major and leadership gifts and managing comprehensive fundraising campaigns. </li>
<li>Demonstrated success in foundation, corporate, and government fundraising and partner development. </li>

Position Summary:
The Vermont law School has 22 buildings on 15 acres in the town of South Royalton Vermont. The General Maintenance Technician I is an important member of the Buildings and Grounds crew, responsible for performing a wide range of skilled building maintenance, repair and assisting in construction projects. The General Maintenance Technician I will assist with emergencies on campus and provide aid to staff, faculty and students as requested.&nbsp;

-Mow and trim grass, prune trees and shrubs, weed beds and building borders
